ARCHIVELY.AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

SPECIFICALLY REGARDING AI FEATURES: YOU ACKNOWLEDGE THAT THE SERVICES UTILIZE ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING. OUTPUTS GENERATED BY AI (SUCH AS SUMMARIES, ANALYSIS, OR TAGS) MAY CONTAIN INACCURACIES, ERRORS, OR OMISSIONS. YOU SHOULD INDEPENDENTLY VERIFY ANY INFORMATION OR OUTPUT PROVIDED BY THE SERVICES BEFORE RELYING ON IT. WE MAKE NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED CONTENT.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ARCHIVELY.AI, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA), WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to defend, indemnify, and hold harmless archively.ai and its affiliates, officers, agents, employees, and partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with (a) your access to or use of the Services, (b) Your Content, or (c) your violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in San Francisco County, California, and you consent to the personal jurisdiction and venue therein.

13. General Terms

These Terms constitute the entire agreement between you and archively.ai regarding the Services and supersede any prior agreements. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be considered a waiver of those rights. You may not assign these Terms without our prior written consent, but we may assign them without restriction. Notices to you may be provided via email or by posting on the Services.
